Terms and Conditions

These are the standard terms and conditions of DNN Hosting (UK) Limited, (‘the Company’, ’the Supplier’, ‘DNNHUK’). Company registered in England & Wales No. 6996130, registered address; 78 York Street, London W1H 1DP. Updated: 28 December 2009.

Trademarks

DotNetNuke®, DNN®, and the DotNetNuke logo are registered trademarks of DotNetNuke Corporation. Microsoft® is a registered trademark of the Microsoft Corporation. DNNHUK is a trademark of DNN Hosting (UK) Limited.

Services Provided

DNNHUK provides professional internet web hosting in the United Kingdom for the DotNetNuke (DNN) open source content management system. Via DNNHUK offers clients access to shared and dedicated hosting for their DNN web sites. DNNHUK provides domain name, email, and technical support services as determined by the individual client account and subscription.

Availability

DNNHUKL endeavors to provide clients with 99.9% uptime for their hosted sites.

Backup Service

DNNHUK takes all reasonable precautions to ensure that a backup capable of restoring a DNN installation following an outage and as such, all DNN installations (database and web directory) are backed up daily by DNNHUK. Clients should maintain a local backup of content and web files and any third party DNN modules that they have purchased. DNNHUK accept no liability for 3rd party modules or any liability for loss of data between backup and restore windows.

Acceptable Use

Clients may not use DNNHUK services for hosting web sites for any purpose that is unlawful or prohibited by these terms or conditions. You may not use DNNHUK for hosting any site that could; damage, disable, or impair the DNNHUK operation. The DNNHUK site may contain blog and bulletin board services, chat areas, news groups, forums, communities, personal web pages, calendars, and other messaging facilities that are designed to enable you to communicate with the general public, collectively termed; “Communication Services”, you agree to use the Communication Services only to post, send and receive messages and material that are proper and related to the particular Communication Service. Such messages that are unacceptable include those that; defame, abuse, harass, stalk, threaten or otherwise violate the legal rights (such as rights of privacy and publicity) of others.

You may not use DNNHUK to; publish post, upload, distribute or disseminate any inappropriate, profane, defamatory, infringing, obscene, indecent or unlawful topic, name, material or information. Upload files that contain software or other material protected by intellectual property laws (or by rights of privacy of publicity) unless you own or control the rights or have received all necessary consents. Upload files that contain viruses, corrupted files, or any other similar software or programs that may damage the operation of another's computer. Advertise or offer to sell or buy any goods or services for any business purpose, unless such Communication Service specifically allows such messages. Conduct or forward surveys, contests, pyramid schemes or chain letters. Download any file posted by another user of a Communication Service that you know, or reasonably should know, cannot be legally distributed in such manner. Falsify or delete any author attributions, legal or other proper notices or proprietary designations or labels of the origin or source of software or other material contained in a file that is uploaded. Restrict or inhibit any other user from using and enjoying the Communication Services. Violate any code of conduct or other guidelines which may be applicable for any particular Communication Service. Harvest or otherwise collect information about others, including e-mail addresses, without their consent. Violate any applicable laws or regulations.

Pricing and Payment

All hosting fees are payable monthly in advance. Payment can be made by cheque made payable to; “DNN Hosting (UK) Limited”, or by standing order to the following business bank account: HSBC Bank, DNN Hosting (UK) Limited, Sort Code 40-22-64 and A/c: 80043028 or via PayPal to accounts@dnn-hosting.co.uk. In all cases, the initial monthly fee must be paid in advance prior to account creation. The initial fee covers account setup costs and is non-refundable. A copy invoice (shown as paid) will be provided to the client during the account creation process along with a standing order mandate for future payments. Invoices are sent to the client via email each month on or around the 1st of the month. DNNHUK reserves the right to review and adjust pricing at its discretion.

Planned Maintenance

In all cases, DNNHUK will advise clients of planned system maintenance by email to the principle contact as detailed on the clients account. DNNHUK reserves the right to take server’s offline without prior notice in the event of an emergency maintenance situation or whereby such action would prevent additional damage to client’s data attributed to malicious or viral attacks.

Domain Name Registration & Management

DNNHUK provides clients with a choice of top level domain extensions. To facilitate the management of domain names, DNNHUK registers domains using our Company contact details for the domain administrator and owner credentials unless otherwise instructed. In all cases, domain names provided as part of month CMS subscriptions remain the property of DNNHUK. The client may choose to purchase the domain on exit where a quotation will be produced. If hosting fees are not maintained and the account is not in good standing, DNNHUK reserves the right to cancel associated email services attached to the domain and retain ownership until the account is brought inline. DNNHUK, reserves the right to lease or sell the domain name without permission for lapsed accounts or for cases whereby DNNHUK has been unsuccessful in contacting the client.

DNNHUK accept no responsibility for domains registered by 3rd parties or problems arising from incorrect domain name or DNS configuration. For domains not registered directly, DNNHUK will provide the client with the IP address of the web server (the host) that the client’s web site is located. DNNHUK refer to this as the domain ‘A record’.

Technical Support

Technical support will be provided via our web site at www.dnn-hosting.co.uk. All clients are provided with a logon to the website helpdesk system. Clients can create helpdesk tickets via the web site which are automatically forwarded to a technical support representative. DNNHUK endeavors to respond to all support tickets within 48 hours. Support requests not submitted in this way will not be given priority. Technical support does not cover content related issues, third party modules or skin design. DNNHUK does provide support for skin/module installation, portal configuration including IIS host header records.

Framework Upgrades

All DNN content management web framework upgrades are at the request of the client. CMS Framework upgrades are chargeable and based on the time taken to upgrade the site. DNNHUK reserves the right to charge additional fees where the client has installed 3rd party module that renders the site defective following a standard DNN version path upgrade and the site has to be restored and rolled back.

Overdue Accounts

All hosting fees are billed monthly in advance. DNNHUK reserves the right to temporarily suspend or cancel hosting services for non-payment of account invoices if account is in arrears by 45 or more days.

If the client account is in arrears and DNNHUK have been unable to make contact for a period of 45 days (overdue period 1) or more from the date of the original invoice, DNNHUKL reserve the right to suspend all services pending the client making contact with accounts@dnn-hosting.co.uk

If contact has not been made for 60 days (overdue period 2) or more from the date of the original invoice date, the client’s database and web site directory will be archived for an additional period of 30 days and a lapsed account fee of £15.00 will be charged to cover our technical and administrative costs. Following this period if no contact has been made, DNNHUK will issue the client with a final demand (overdue period 3). If the final demand is not paid in full within 5 days, the client web directory, database backups and all email services will be permanently deleted and the account will be passed to a debt recovery agency for collection.

For all lapsed accounts, DNNHUK will provide the client with an Invoice for the following month that will have to be paid in advance and a standing order mandate that will have to be completed by the client and returned to DNNHUK for the following period. For all suspended accounts, any arrears payments due, lapsed account fees and completed standing orders have to be paid in full or provided to accounts@dnn-hosting.co.uk prior to services being reinstated. 

It is the policy of DNNHUK to communicate with overdue account owners in writing via email only. Overdue account owners leaving voicemail messages will be replied to via email within 48 Hours. Lapsed account owners will not be entitled to any support services until the account is brought inline with our standard terms and conditions as detailed at which point all services will be reinstated providing our terms of business have been met.

Lapsed Accounts

In all cases, it is the responsibility of the client to ensure that they cancel any standing orders, direct debits or future payments via PayPal or any other payment gateway. No refunds will be provided for any lapsed accounts whereby the client has not cancelled their payment instruction.

Orders

All orders must be confirmed in writing. In the case of new sign ups, the web site has an online form which should be completed. For bespoke and ad-hoc work, order confirmation should be submitted via email.

Cancellation

Accounts may be cancelled with 30 days notice. All cancellation requests must be submitted in writing from the account contact email address. All outstanding balances must be cleared prior to any work being undertaken for backups or domain management tasks. Clients that require backups of their web site and database instance to be provided on CD/DVDROM are charged £49.99 for this service. If the client does not require a backup of their directory and database, the site will remain online for 10 days from the cancellation date. Following this period, DNNHUK will delete the directory, database and backups. Where DNNHUK has provided a domain name as part of a monthly hosted service that the client wishes to retain, DNNHUK will offer to sell the domain to the client for an agreed fee. Where the client has moved the hosting services to another provider but DNNHUK still retains domain names, the client will be charged a recurring annual domain registration fee until the domain is transferred away. If the client subsequently wishes to move domain management to another provider, all account fees will have to be paid in full prior to DNNHUK undertaking any work to transfer the domain name.

Links to Third Party Sites

DNNHUK accepts no liability for the content on any third party web sites that have been linked to and has no control of the information contain on such sites and in no way endorse or guarantee any third party content.

Data Protection

DNNHUK will not disclose or share client account related information with any 3rd party organisation or use client contact information for any purpose other than to communicate DNNHUK special offer, service and account related information. DNNHUK will only accept instructions from the account owner as listed in our accounts. Instructions from third party organisations will only be accepted with written permission from the account owner.

Acceptance

Acceptance of these terms and conditions is during account creation by way of client confirmation. DNNHUK are unable to provide services without client acceptance of our terms and conditions.

Our rights

DNNHUK reserves the right to amend terms, conditions and notices under which DNN hosting and associated services are offered, including but not limited to service fees and charges, without prior notification. DNNHUK may not be held responsible for any loss of business as a result of any loss of service.

Complaints and Disputes

In all cases, complaints should be put in writing and posted to Customer Service Manager, DNN Hosting (UK) Limited, 78 York Street, London W1H 1DP. All complaints will be reviewed on an individual basis. The results of findings and any further action to be taken will be communicated to the originator.

Governing Law

These terms and conditions are governed by English Law and the decisions of English courts.
